JunctionBuzz (hereafter, “we”) operates under Nzenwa Limited, which is a trading company with Nzenwa.com as its online trading portal. JunctionBuzz (hereafter, “website”) is a social networking portal, which allows Members to create unique personal profiles, permitting them to reach out to and communicate with others globally. This is a Statement of Terms & Conditions of Use that all users of JunctionBuzz agree to adhere to. This Terms & Conditions of Use Agreement (“Agreement”) sets forth the legally binding terms for your use of JunctionBuzz Services. Any user of JunctionBuzz, whether a “visitor”, or a “surfer”, or a “member”, including those accessing website through a mobile device, automatically become legally binding to all the clauses of this “Agreement”.  A “visitor” refers to a person using some / any options like chatting, music, videos or others. A “surfer” refers to one who is just browsing the website. A “member” refers to a person registered with JunctionBuzz. All visitors, surfers and members may be collectively referred to as “users”. The “membership” refers to your account registered on JunctionBuzz. You are allowed to use JunctionBuzz website only if you agree to abide by all the laws and the Terms & Conditions of Use. If you do not agree to be bound by these laws and other laws applicable, you are advised to immediately discontinue usage of the website. You are required to read and indicate acceptance of this Agreement during the registration process.

  1. Eligibility: JunctionBuzz membership is only for members registering on the website. The website membership is void, where prohibited. By agreeing to the JunctionBuzz Services, you warrant that -

    1.2 You will maintain the accuracy of information, including your contact information.
    1.3 You are 13 years of age or older.
    1.4 Your usage of website services does not violate any applicable laws or rules.
    1.5 You will not use the website if you are a convicted sex offender.

The discretion to remove any commercial content, not suitable for the website lies solely with JunctionBuzz. Any illegal and / or unauthorized use of the website for promoting personal or religious biases, collecting usernames or user ID numbers of users, use of unauthorized software to link the website with others, sending unsolicited emails, employing third party promotional sites or software to profiles for money or any other such activity, is strictly prohibited. JunctionBuzz promotes advertising of home based businesses, small scale businesses, SMEs, large businesses and MNCs. This includes advertising for businesses operating in food industry, catering, hospitality and related industries. All advertisement requests of products and / or services are subject to clearance by the website. Unauthorized commercial advertisements, affiliate links and other forms of unauthorized solicitation may be removed from the member profiles, without any prior notice or explanation. This may also result in termination of memberships and also in permanent barring of defaulting users from using the website. JunctionBuzz reserves the right to take any appropriate legal action for any illegal activity conducted through the website.
  4. Term of Use: This Agreement is subject to change from time to time. In full capacity, this Agreement shall remain in full force and effect, while the website is being used as a member, visitor or surfer. You may terminate your Membership, at any time, or any reason, by following the instructions on the website. The website reserves the right to terminate your membership, without any prior notice or explanation, or liability. This Agreement will remain in force even after the membership is terminated.
  5. Applicable Fee: JunctionBuzz reserves the right to charge for any portion of the services offered, as deemed fit. The website also reserves the right to change its fee structure from time to time, at its discretion. If your membership is terminated for any reason, you shall not be entitled to any refund of the unused part of the paid fee, if any.

  7. Ownership Rights to Content: JunctionBuzz does not have any ownership rights on the text, files, music, videos, and others put on the website. You continue to retain the rights and any responsibility for the content posted on JunctionBuzz by you. If you post any content, which is right protected, JunctionBuzz will not be entitled to pay you any royalty, or any other kind of licensing fee. You shall be free to post the content on other sites and use it on other platforms.  
  8. Prohibited Content & Activities: JunctionBuzz reserves the right to terminate the membership of any user posting objectionable content on the website. The website may take legal action against any user and / or terminate the  membership of violators. The objectionable content includes, but is not limited to the content described below –

    9. 8.1.Content which is offensive, promotes racism, religious sentiments, bigotry, hatred, physical or potent mental harm; against any individual or a group.
    8.2.Content, which is libellous, obscene, misleading, abusive, false, defamatory, promoting illegal or violent activities.
    8.3.Content, which is designed to harass an individual or group.
    8.4.Content, which is sexual or violent in any manner.
    8.5.Content, containing or promoting nudity, excessive violence, or offensive subject matter, and / or containing links to adult sites.
    8.6.Content, asking revelatory information from a person less than 18 years of age.  
    8.7.Content, which puts another’s security at risk.
    8.8.Content, which is sent out for the purpose of spamming, chain mails or junk mails.
    8.9.Content, which infringes the copyright of another. This includes exchanging or providing links to pirated computer programs, providing pirated music and videos or to circumvent manufacture – installed – copy – protect devices.
    8.10.Content, having images, pictures or videos of another person or a group, without their express permission.
    8.11.Content, which promotes sales, contests or sweepstakes, money chains, pyramid schemes, barter deals, or any other kind of money dealing.
    8.12.Content, promoting symbols and / or propaganda materials of religious groups, banned organizations, unconstitutional or illegal organizations banned in your country, and / or internationally.
    8.13.Content, violating the privacy rights, publicity rights, copyrights, trademark rights, intellectual property rights, contract rights or any other rights of any person.
    8.14.Content, which promotes child pornography, tortuous or criminal activity, corruption of minors, drug dealing, gambling, stalking, fraud, trade or industrial secrets, sending computer viruses / bugs / worms / bots / any other computer codes or harmful files.
    8.15.Content, which results in overlapping or attempting to cover or obscure any banners or other advertisements displayed on JunctionBuzz.
    8.16.Content, attempting to impersonate another person, member, user, or entity.             

  9. Copyrights & Intellectual Property Rights: JunctionBuzz respects the intellectual property rights of all individuals. All users are prohibited to upload, email, embed, transmit or post, or make available any such material, which is right protected. The users are requested to contact the JunctionBuzz support to report matters of infringement of right protect laws.   
  10. Advertising on JunctionBuzz: JunctionBuzz promotes advertisements of home based businesses, small scale businesses, SMEs, large businesses and MNCs. All advertising material is subject to clearance and approval of the website.
  11. Amendments: This Agreement is subject to changes and amendments from time to time, as deemed fit.
  12. Termination: JunctionBuzz solely reserves the right to terminate the membership of any user, without any prior explanation or notice. JunctionBuzz also reserves the sole right to terminate any service/s provided through the website, without any prior notice to users or otherwise.  
  13. Disputes: The Agreement shall be governed by the law of European Union. The users are solely responsible for their interaction with other users. JunctionBuzz reserves the right to get involved in any member disputes, but is not obligated to do so.
  14. Disclaimers: The JunctionBuzz website is not held responsible for or makes any warranties, express or implied, as to the user content or the reliability of the user content posted on or through the website services. This also includes the content posted by any equipment or programming associated with or utilized by the website services. The user content does not reflect the opinion or policies of JunctionBuzz. The website will also not be held responsible for the content displayed on the links posted by users in their profiles or third party applications. When the users go to such unauthorized links, they do so, on their own risk. JunctionBuzz will also not be held responsible for any electronic, transmission or communication failure resulting into loss of data or deletion of images, or other related and unrelated profile information. Under no circumstances, the website will be held responsible for any loss or damage, including personal injury or death, resulting from the usage of any or all of website services, whether offline or online. The JunctionBuzz services are provided “AS- IS” and as available and the website expressly disclaims any warranty of fitness for a particular purpose or non-infringement. JunctionBuzz also does not guarantee any specific results from the posted information or advertising or from any other of the website services.

Indemnity: The users agree to indemnify and hold JunctionBuzz, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the website services in violation of this Agreement, and / or any breach of your representations and warranties set forth in this Agreement and / or if any content posted on the website makes the website liable to another.

Limitations on Liability: JUNCTIONBUZZ IS NOT LIABLE TO YOU OR ANY OTHER THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF JUNCTIONBUZZ SERVICES, EVEN IF THERE HAS BEEN AN INDICATION TO THE WEBSITE OF SUCH AN OCCURRENCE. NOT WITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, WEBSITE’S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL BE AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY USERS TO JUNCTIONBUZZ FOR THE JUNCTIONBUZZ SERVICES, DURING THE TERM OF MEMBERSHIP AND OTHERWISE, THEREOF.  
  17. Others: This Agreement is accepted upon by your use of the JunctionBuzz website services. If any part of the Agreement cannot be enforced, the remaining part will still remain in full force and effect. On the occasion of our failure to enforce any part of this Statement, it will not be considered a waiver. Any amendment or waiver must be made in writing and duly signed by us. Users will not transfer any of the rights or obligations to anyone else without our consent. All our rights and obligations under this Statement are freely assignable by us on the occasion of a merger, acquisition, or sale of assets, or by operation of law or otherwise.  This Statement does not confer any third party beneficiary rights. The sections used in this Agreement are indicative for convenience only and have no legal or contractual implications. This Agreement operates to the fullest extent permissible by law. If any part of this Statement is found to be unlawful, void or unenforceable, that part is deemed severable from this Agreement and shall not affect the enforceability of any remaining parts.
